By accessing and using SiteHaven's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.
2. Services Description
SiteHaven provides:
- Bespoke Web Design: Custom website design and development services
- Web Hosting: Reliable hosting infrastructure and server management
- Website Maintenance: Ongoing updates, security patches, and technical support
- Additional Services: E-commerce solutions, SEO optimization, website migration, and custom development

3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information for your project
- Respond to requests for feedback and approvals in a timely manner
- Supply all necessary content, images, and materials for your website
- Ensure you have the right to use all content you provide
- Pay all fees on time according to the agreed payment schedule
- Use our services in compliance with all applicable laws and regulations
- Not use our services for illegal, harmful, or unethical purposes
4. Payment Terms
- Design Projects: Require an initial deposit (typically 50%) before work begins, with the balance due upon completion or according to milestone payments outlined in your agreement.
- Hosting Services: Billed monthly or annually in advance. Payment is due on the first day of each billing cycle.
- Late Payments: Overdue accounts may be subject to late fees and service suspension after 15 days.
- Refunds: Design work is non-refundable once the project has commenced. Hosting fees may be refunded on a pro-rata basis within 30 days of initial purchase only.
5. Project Timeline and Delivery
- Project timelines are estimates and depend on timely client feedback and content provision
- Delays caused by client non-responsiveness may extend the project timeline
- We will make reasonable efforts to meet agreed deadlines
- Rush projects may incur additional fees
6. Revisions and Changes
- Each service package includes a specified number of revision rounds
- Revisions must be requested within the revision period specified in your agreement
- Additional revisions beyond the included amount may incur extra charges
- Major scope changes require a new project agreement and additional fees
7. Intellectual Property Rights
- Your Content: You retain ownership of all content, images, and materials you provide
- Website Design: Upon full payment, you receive ownership of the custom design elements created specifically for your project
- Code and Functionality: We may use third-party libraries, frameworks, and plugins that have their own licenses
- Portfolio Use: We reserve the right to showcase completed projects in our portfolio and marketing materials unless you request otherwise in writing
8. Hosting Services
- Uptime Guarantee: We strive for 99.9% uptime but cannot guarantee uninterrupted service
- Backups: Daily automated backups are performed, but clients are encouraged to maintain their own backups
- Resource Limits: Hosting plans have specific bandwidth, storage, and resource limits as outlined in your plan
- Prohibited Content: Illegal content, malware, spam operations, and excessive resource consumption are prohibited
- Suspension: We reserve the right to suspend accounts that violate terms or compromise server security
9. Support and Maintenance
- Support Hours: Monday - Friday, 9:00 AM - 6:00 PM EST
- Response Time: We aim to respond to support requests within 24 hours on business days
- Emergency Support: Critical issues affecting site functionality receive priority attention
- Scope: Support covers technical issues, hosting matters, and minor content updates as outlined in your plan
10. Warranties and Disclaimers
We warrant that:
- Services will be performed with professional skill and care
- Work will be substantially free of defects for 30 days after launch
- We have the right to provide the services offered
Disclaimer: Except as expressly stated, our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee specific results, traffic levels, or business outcomes.
11. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claims arising from our services shall not exceed the amount you paid us in the 12 months preceding the claim
- We are not liable for indirect, incidental, consequential, or punitive damages
- We are not responsible for losses caused by factors outside our reasonable control
- You are responsible for maintaining appropriate insurance for your business
12. Termination
- By Client: You may terminate hosting services with 30 days written notice. Design projects in progress require payment for work completed.
- By SiteHaven: We may terminate services for breach of terms, non-payment, or illegal activity with appropriate notice.
- Effect of Termination: Upon termination, you must pay all outstanding fees. We will provide access to your files and data for 30 days.
13. Confidentiality
We will maintain the confidentiality of your proprietary information and will not disclose it to third parties except as necessary to provide services or as required by law.
14. Indemnification
You agree to indemnify and hold SiteHaven harmless from any claims, damages, or expenses arising from:
- Your use of our services
- Content you provide or upload
- Violation of these terms
- Infringement of third-party rights
15. Modifications to Terms
We reserve the right to modify these Terms of Service at any time. Material changes will be communicated via email or website notice. Continued use of services after changes constitute acceptance of the modified terms.
16. Governing Law and Disputes
These terms are governed by the laws of the jurisdiction in which SiteHaven operates. Any disputes will be resolved through good faith negotiation, mediation, or binding arbitration before resorting to litigation.
17. General Provisions
- Entire Agreement: These terms, along with any service-specific agreements, constitute the entire agreement between you and SiteHaven
- Severability: If any provision is found unenforceable, the remaining provisions continue in effect
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision
- Assignment: You may not assign your rights under this agreement without our written consent
